1. Acceptance of Terms

By accessing or using the Healix360 website, submitting any intake or referral form, requesting services, or otherwise communicating with Healix360, you acknowledge that you have read, understood, and agree to be bound by these Patient Terms of Service ("Terms"). If you do not agree, you must not use this website or request our services.

2. Nature of Services Provided by Healix360

Healix360 provides administrative and access-related services, including:

• Patient intake and information collection
• Referral processing
• Insurance verification and eligibility review
• Provider placement and scheduling support
• General administrative coordination of access to care

Healix360 does not diagnose, treat, examine, prescribe for, or make any clinical decisions regarding any patient. Healix360 does not practice medicine or nursing and does not provide medical advice.

3. Independent Licensed Providers

All clinical evaluation, treatment, and care decisions are made solely by independent licensed healthcare providers, including physicians and nurse practitioners, who maintain their own professional licensure and clinical judgment. These providers are independent contractors and not employees, agents, partners, or representatives of Healix360. Healix360 is not responsible or liable for the acts, omissions, advice, treatment decisions, or outcomes of any independent provider.

4. No Provider-Patient Relationship Created by Healix360

Use of this website, submission of an intake form, or communication with Healix360 staff does not create a provider-patient or physician-patient relationship with Healix360 or with any provider. A provider-patient relationship is established only when an independent licensed provider personally evaluates the patient and accepts the patient into their care.

5. No Guarantee of Availability or Outcomes

Healix360 makes no representation, warranty, or guarantee regarding provider availability, the timing of provider placement, insurance approval, the suitability of any treatment, or any specific healing, recovery, or clinical outcome. Healing and recovery vary from patient to patient and depend on many factors outside the control of Healix360.

6. Medical Disclaimer

Information provided on this website, in any communication from Healix360 staff, or in any printed or digital material is for general informational purposes only and is not medical advice, diagnosis, or treatment. Always consult a licensed healthcare provider for diagnosis and treatment of any medical condition. Never disregard professional medical advice or delay seeking it because of something you read or received from Healix360.

7. Patient Responsibilities

By requesting services through Healix360, you agree to:

• Provide accurate, current, and complete information during intake and at any later point;
• Promptly update Healix360 if your contact, insurance, or health information changes;
• Cooperate fully with the assigned independent provider, including keeping appointments and following clinical instructions;
• Promptly notify the provider of any reaction, change in condition, or concern related to your care.

8. Communication Consent

By providing your phone number, email address, or other contact information to Healix360, you expressly consent to be contacted by Healix360 and the assigned independent provider by telephone, SMS/text message, and email regarding intake, scheduling, insurance verification, appointment reminders, care coordination, and related administrative matters. Standard message and data rates may apply. You may opt out of non-essential messages at any time by replying STOP to any text message or by contacting us directly; however, opting out of essential care-related communications may delay or prevent access to care.

9. Insurance and Financial Responsibility

Healix360 will assist with verifying insurance eligibility based on information you provide. Final coverage and payment determinations are made by your insurer. You are responsible for any co-pays, deductibles, non-covered services, or balances not paid by your insurer.

10. Limitation of Liability

To the fullest extent permitted by law, Healix360, its officers, employees, contractors, and affiliates shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to damages arising from clinical care or treatment decisions made by independent providers, denial or delay of insurance coverage, errors in information provided by patients or third parties, or use of this website. Healix360's total liability for any claim arising out of or related to these Terms or the services shall not exceed one hundred U.S. dollars (US $100).

11. Indemnification

You agree to indemnify and hold harmless Healix360 and its officers, employees, and affiliates from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the website or services, your violation of these Terms, or your violation of any rights of another party.

12. Binding Arbitration (California)

Any dispute, claim, or controversy arising out of or relating to these Terms, the website, or the services shall be resolved by final and binding individual arbitration administered by JAMS in accordance with its rules then in effect. The arbitration shall take place in Los Angeles County, California, and judgment on the award may be entered in any court of competent jurisdiction.

Class action waiver: You and Healix360 each agree that any dispute will be brought in an individual capacity only, and not as a plaintiff or class member in any purported class or representative proceeding. Either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property or confidential information.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

14. Modifications

Healix360 may update these Terms at any time. Material changes will be reflected by an updated effective date at the top of this page. Your continued use of the website or services after changes are posted constitutes acceptance of the revised Terms.
